The delegation of performance under a sales contract whether in conjunction with an assignment of rights, is governed by UCC section 2-210(1). The UCC recognizes that in many cases an obligor will find it convenient or even necessary to relieve himself of the duty of performance under a contract, see Official Comment 1, UCC § 2-210 ('This section recognizes both delegation of performance and assignability as normal and permissible incidents of a contract for the sale of goods.').
