[[13162]]UCC 3-402(b)(2) states that a party could be personally liable in two situations: (1) to a holder in due course who takes the instrument without notice that the party did not intend to be personally liable; and (2) to any other party unless the party proves that the original parties did not intend them to be personally liable.[[13162]]
