Facts

Smith (P) took the job of president of Cloverdale Ford, a new company, under the condition that the other shareholders could terminate his contract if he proved to be unsatisfactory in their opinion or if the Ford Motor Company found him unsatisfactory from the standpoint of profits earned or the manner of management. P made the dealership profitable. P them became involved with the Ford Dealer Alliance and D threatened to terminate the dealership unless P was fired; P was terminated. P sued for interference with business relations. The trial court dismissed the action. The court of appeals upheld that dismissal. P appealed.
