Facts

The Judicial Council had procedures in place to deal with protracted antitrust litigation. Counsel for American Gas Association (D) followed these procedures and provided files of documents to the court. The court's duty was to determine whether or not they were privileged under the attorney-client privilege. If they were privileged, they would be disclosed to Radiant Burners' (P) counsel. If they were not privileged, they would be delivered to P for inspection. Most of the documents were disposed. After considering the few that were not disposed, the court considered whether the attorney-client privilege applied to corporations at all.
