Facts

P filed the instant suit against Ds alleging breach of contract, breach of fiduciary duty, violations of the standards of professional conduct, unjust enrichment,  violation of the Lantham Act, and appropriation of name and likeness. After a motion to dismiss the remaining counts are limited to breach of contract against D and breach of fiduciary duty and violations of the standards of professional conduct with respect to Judicial Watch and Orfanedes (D). It is undisputed that Klayman, present counsel for P, signed an agreement and subsequent modification thereto as 'Chairman and General Counsel' of D.
