P brought suit against D (three corporations) for failure to pay for certain goods ordered from P. It is alleged that D placed these orders through his various companies, but when these entities became insolvent, he formed a new company to avoid any obligation to pay P. D moved to dismiss for failure to state a claim upon which relief can be granted, or, in the alternative, for summary judgment.
