P, a California corporation, seeks a declaratory judgment holding that its award to Boch of a prospective Honda dealership in Norwood, Massachusetts does not violate M.G.L. c. 93B. Clair (D) filed a counterclaim contending that the Honda dealership awarded to Boch violates M.G.L. c. 93B, §4(3)(1), which prohibits an arbitrary award of a new motor vehicle dealership in an existing franchisee's relevant market. D claims that P awarded Boch the Norwood dealership to retaliate against Clair for its leading role in federal multidistrict litigation brought by franchisees against d. Boch seeks to intervene to protect its purported interest in the proposed Norwood dealership.
