Facts

Joyce Styslinger assigned her membership interest in D to P. D is an LLC that owns, maintains, and leases residential housing units. Joyce Styslinger, a nonparty to this action, is the former spouse of P. As part of a marriage dissolution settlement agreement, Joyce Styslinger assigned her membership interest in D to P. Weinshel is the only other member of D. P filed the present action against D and Weinshel claiming that Weinshel has breached his fiduciary duties D and P by refusing to make distributions to P while taking distributions for himself, and by refusing to allow P to inspect D's books and records. P sought an order dissolving D; and (2) the appointment of a receiver to wind up its affairs and distribute its assets. Ds moved to dismiss in that P lacked standing because only members could seek this relief under the Connecticut Limited Liability Company Act (act), General Statutes § 34-100 et seq. The court ruled for Ds, holding that P did not have standing to seek a dissolution or a winding up of D's affairs. P appealed.
