Facts
Nelson (P) was elected President of Pioneer (D). The bylaws for D called for an election of corporate officers for only one year. On August 1, 1957, P was employed as president under a written contract for a period of two years. The term for which he was elected ran until April of 1958 and the contract provided employment until July 31, 1959. On December 15, 1957, D was discharged as president. P sued for breach of contract under the two-year contract.
