Facts
Olson (P) was a corporation that had its corporate headquarters near Chicago. Its only manufacturing plant was in Winona, Mississippi. The plant was the central hub of all corporate activity and was the main source of revenue and P’s only operations site. Most of P’s employees lived in Mississippi and while major corporate decisions were made in Chicago, a large amount of day to day business decisions were made in Mississippi. P filed an action against Winona (D) in federal district court in Mississippi based on diversity jurisdiction. The court dismissed the case holding that P and D were in fact citizens of Mississippi making diversity jurisdiction impossible. P appealed under the contention that its principal place of business was in Chicago.
