Facts

Conservative Caucus (P) was a registered shareholder of 30 shares of Chevron (D) stock. P made a demand of a stockholder list in order to communicate with other stockholders about the alleged economic risks of D's business activity in Angola and about a resolution which is proposed to be submitted in connection with the next annual meeting of D. P wanted D to inform Angola that it would cease to do business unless it gave up its communist form of government and institute a democratic system of government. P complied with the statutes regarding requests for stockholder lists and as such D had the burden to show that inspection would be for an improper purpose.
