Horton (P and owner of 112 shares of D) and 78 other parties sued Compaq (D), fifteen of its advisors and certain management personnel. They alleged violation of certain Acts, misconduct involving common law fraud, conspiracy, aiding and abetting, fraudulent concealment and breach of fiduciary duty. On 9/22/1992, P demanded inspection of a ledger and related information with the purpose to communicate with other shareholders to ascertain whether any of them would desire to get involved in a suit. On 9/30/1992 D refused stating that the purpose was not proper. After filing this action, the parties presented a cross-motion for summary judgment. On 11/12/ 1992 the Court of Chancery ordered D to permit P an inspection of the requested documents.
